利用規約Terms of Use

1. 適用範囲1. Scope

本規約は、Knacit（ナシット、以下「当社」）が運営するウェブサイト（knacit.com および関連ページ、以下「本サイト」）ならびに当社が提供する無料診断・伴走支援（以下「本サービス」）のご利用に適用されます。本サービスをご利用いただいた時点で、本規約にご同意いただいたものとみなします。 These Terms of Use apply to the website operated by Knacit (knacit.com and related pages, "the Site") and all services provided by Knacit, including the free organizational diagnosis and companion support (collectively "the Services"). By using the Services, you agree to these Terms.

2. 利用条件2. Conditions of Use

本サービスをご利用いただくにあたり、以下の条件を満たしていることを前提とします。The following conditions apply to use of the Services.

• 法人・個人事業主・任意団体、またはそれらに準ずる組織に属する方（または代表者）であることYou are a representative of a company, sole proprietorship, voluntary organization, or equivalent entity
• 日本国内の法令および本規約を遵守できることYou can comply with applicable Japanese law and these Terms
• 無料診断フォームへの入力内容が真実かつ正確であることInformation submitted via the free diagnosis form is truthful and accurate

3. 料金及び支払3. Fees and Payment

• 無料診断は無料です。診断の申込・実施・診断結果のご提供について、費用は一切いただきません。The free diagnosis is free of charge. No fees apply to requesting, receiving, or acting on the free diagnosis.
• 有料の伴走支援には、単発で役務を提供する相談パックと、初期費用及び月額料金からなる継続的な役務提供（定額で伴走／まるごと伴走）があります。掲載金額は税別で、別途、消費税相当額を申し受けます。実際の金額は、課題の規模・期間に応じて個別にお見積りします。Paid companion support takes two forms: the Advisory pack, a single one-time engagement, and ongoing support consisting of a setup fee plus a monthly rate (Monthly partnership or Full-scope partnership). Published amounts exclude consumption tax, which is charged separately. The actual figure is quoted individually based on the scope and duration of the work.
• 掲載金額以外の費用が生じる場合は、発生前に個別にお見積りし、書面（メールを含みます）でご了承をいただきます。ご了承のない費用を請求することはありません。If any cost outside the published amount would arise, we will quote it in advance and obtain your written agreement (email is sufficient). We do not invoice costs you have not agreed to.
• 相談パックの料金、及び定額で伴走／まるごと伴走の初期費用は、着手前に請求書でご案内し、全額を前払いいただきます。本規約における「着手」とは、初回ヒアリングの実施をもって定義します。Fees for the Advisory pack, and the setup fee for Monthly or Full-scope partnership, are invoiced before commencement and payable in full in advance. Under these Terms, "commencement" is defined as the first hearing session taking place.
• 定額で伴走／まるごと伴走の月額分は、当月分を月初に請求書でご案内し、当月末日までに当社指定の口座へお振込みください。振込手数料は利用者のご負担とします。The monthly fee for Monthly or Full-scope partnership is billed monthly. We issue an invoice for the current month at the start of that month, payable by bank transfer by the last day of the same month. Transfer fees are borne by the user.
• お支払いが確認できない場合、当社は事前にご連絡のうえ、本サービスの提供を一時停止することがあります。If payment is not received, we may suspend the Services after notifying you in advance.
• 料金を改定する場合は、適用の1か月前までにお知らせします。改定にご同意いただけない場合、適用前に解約いただけます。If fees change, we will give at least one month's notice before the new fees apply. If you do not accept the change, you may cancel before it takes effect.

4. 契約期間及び解約4. Term and Cancellation

• 相談パックは単発の役務提供であり、本条の月単位の解約に関する定めは適用されません。着手前のキャンセルは、既にお支払いいただいた分を全額返金します。着手後のキャンセルは、既に提供した役務の対価が発生しているため、原則として返金いたしません。ただし、当社の責めに帰すべき事由により役務の提供が困難となった場合は、この限りではありません。The Advisory pack is a single one-time engagement; the monthly cancellation terms in this section do not apply to it. Cancelling before commencement gets a full refund of any amount already paid. Cancelling after commencement is generally non-refundable, since work has already been delivered — unless the Services became impossible to provide due to a cause attributable to Knacit.
• 定額で伴走／まるごと伴走の初期費用も同様に、着手前のキャンセルは全額返金し、着手後は原則として返金いたしません（ただし書きは前項と同じです）。The setup fee for Monthly or Full-scope partnership follows the same rule: a full refund before commencement, and generally non-refundable after (with the same exception as above).
• 定額で伴走／まるごと伴走の月額分は月単位で提供します。最低契約期間は定めません。The monthly portion of Monthly or Full-scope partnership is provided on a monthly basis. There is no minimum contract period.
• 解約をご希望の場合、当月末日までにメールでお申し出ください。翌月分から停止します。理由をお尋ねすることはありますが、お答えいただく必要はありません。To cancel, notify us by email by the last day of the current month; the Services stop from the following month. We may ask why, but you are not required to answer.
• 月の途中で解約のお申し出をいただいた場合も、当月分の料金は発生し、返金はいたしません。当月末日までは通常どおりご利用いただけます。If you cancel mid-month, the current month's fee still applies and is not refunded. You may continue to use the Services until the end of that month.
• 利用者が本規約に違反した場合、当社は事前にご連絡のうえ本サービスの提供を終了することがあります。If a user breaches these Terms, we may end the Services after notifying them in advance.
• 解約または終了の後も、第7条（提出資料・機密情報の取り扱い）は引き続き効力を有します。Section 7 (Submitted Materials and Confidential Information) survives cancellation or termination.

5. 禁止事項5. Prohibited Actions

利用者は以下の行為を行ってはなりません。Users must not engage in any of the following.

• 虚偽の情報を入力・送信することSubmitting false or misleading information
• 本サービスを通じて取得した診断結果・資料を、当社の書面による許可なく第三者に開示・転用・販売することDisclosing, repurposing, or selling diagnosis results or materials obtained through the Services to third parties without Knacit's written permission
• 本サイトのシステムやインフラに過大な負荷をかける行為、不正アクセス、その他技術的妨害行為Placing excessive load on Site infrastructure, unauthorised access, or other technical interference
• 法令または公序良俗に反する目的での利用Using the Services for any purpose that violates applicable law or public order

6. 診断結果の性質と免責6. Nature of Diagnosis Results and Disclaimer

無料診断で提供するボトルネック仮説・分析レポートは、利用者からご提供いただいた情報をもとにした参考情報（仮説）です。当社はその正確性・完全性・有用性を保証するものではなく、診断結果に基づく経営判断・事業上の意思決定は、すべて利用者自身の責任において行われるものとします。当社は、診断結果の利用によって生じたいかなる損害（直接・間接・付随的損害を含む）についても、責任を負いません。 The bottleneck hypotheses and analysis reports provided through the free diagnosis are reference information (hypotheses) based on information submitted by users. Knacit does not guarantee the accuracy, completeness, or usefulness of diagnosis results. All management decisions and business judgements made based on diagnosis results are the sole responsibility of the user. Knacit accepts no liability for any damages (including direct, indirect, or incidental damages) arising from the use of diagnosis results.

7. 提出資料・機密情報の取り扱い7. Submitted Materials and Confidential Information

利用者が診断フォームから提出された資料・情報（添付ファイル・テキスト等）は、診断の実施および当社との支援プロセスの目的にのみ使用します。利用者の同意なく第三者に開示することはありません。ただし、送信データは当社のインフラパートナー（Cloudflare、Resend）のサービスを経由します（詳細はプライバシーポリシーをご参照ください）。機密性の高い情報については、事前に当社へご相談のうえご提出ください。 Materials and information submitted via the diagnosis form (attachments, text, etc.) are used solely for the purpose of conducting the diagnosis and the subsequent support process. They will not be disclosed to third parties without your consent. Note that submitted data passes through our infrastructure partners (Cloudflare, Resend) — see our Privacy Policy for details. For highly sensitive information, please consult with us before submitting.

8. 知的財産権8. Intellectual Property

本サイトおよび本サービスに掲載されているテキスト・画像・ロゴ・診断手法（クロス分析）等の一切の著作物は、当社または正当な権利者に帰属します。当社の書面による許可なく、複製・転用・二次利用することを禁じます。 All content on the Site and Services — including text, images, logos, and the diagnosis methodology (Cross-Analysis) — belongs to Knacit or its rightful owners. Reproduction, repurposing, or secondary use without Knacit's written permission is prohibited.

9. サービスの変更・中断・終了9. Service Changes, Interruption, and Termination

当社は、利用者への事前通知なく、本サービスの内容を変更、一時中断、または終了することができるものとします。これらによって利用者に生じた損害について、当社は責任を負いません。 Knacit may modify, temporarily suspend, or terminate the Services without prior notice to users. Knacit accepts no liability for damages incurred by users as a result of such changes.

10. 規約の変更10. Changes to These Terms

当社は必要に応じて本規約を改定することがあります。重要な変更がある場合は、本サイト上でお知らせします。改定後に本サービスをご利用いただいた場合、改定後の規約に同意したものとみなします。 Knacit may revise these Terms from time to time. We will notify users of significant changes on the Site. Continued use of the Services after a revision constitutes acceptance of the updated Terms.

11. 準拠法・管轄裁判所11. Governing Law and Jurisdiction

本規約は日本法に準拠し、これに従って解釈されます。本規約に関する一切の紛争については、当社所在地を管轄する裁判所を第一審の専属的合意管轄裁判所とします。 These Terms are governed by and construed in accordance with the laws of Japan. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the court having jurisdiction over Knacit's place of business as the court of first instance.
